GRI (Global Reporting Initiative)

全球报告倡议组织(GRI)成立于1997年,是由美国的一个非政府组织“对环境负责的经济体联盟”(Coalition for Environmentally Responsible Economies,简称CERES)和联合国环境规划署(United Nations Environment Programme,简称UNEP)共同发起的,秘书处设在荷兰的阿姆斯特丹。

  • 1997年到1998年间,CERES逐步形成为可持续发展信息的披露提供一个框架的想法,于是最先发起了“全球报告倡议”项目,并开始招募人员、筹集资金、建设网络。1999年,UNEP加入GRI成为共同的合作方,确保了全球报告倡议组织在全球平台上开展活动。

  • 2000年,GRI发布了第一代《可持续发展报告指南》,其在全球的影响已经遍布南美、北美、大洋洲、欧洲、南亚和日本,50个机构在GRI报告指南的基础上发布他们的可持续发展报告。2001年,按照GRI管理委员会(Steering Committee)的建议,CERES的董事会决定将GRI剥离,成为一个独立机构。GRI开始起草关于合并成立法人组织和招募董事会成员的规则,并针对2000年版指南的使用者收集反馈信息,以便于修订。

  • 2002年,GRI正式成为一个独立的国际组织,以UNEP官方合作中心的身份成为了联合国成员;GRI解散了管理委员会,正式任命临时董事会并选举主席,GRI的运营和资产正式从CERES分离开来,总部设在荷兰。同年,GRI第二代《可持续发展报告指南》2002年版本(简称G2)在南非约翰内斯堡的世界可持续发展峰会上正式发布。

  • 2003年至2006年间,GRI相继完成一系列机构的任命,建立了自身独特的治理结构,并在荷兰的阿姆斯特丹设立办公室,成为永久性总部。

  • 2006年10月5日,GRI在荷兰阿姆斯特丹召开大会,发布了第三代《可持续发展报告指南》(也称2006年版指南,G3)。

  • 2014年1月16日,全球报告倡议组织(GRI)在北京发布《可持续发展 报告指南》G4中文版。

世界可持续发展工商理事会(WBCSD)于2002年1月发表了认可和支持GRI的公告,并承诺鼓励其成员积极支持GRI。联合国前秘书长安南、英国前首相布莱尔和OECD的“可持续发展与环境和多国企业指南工作室”都曾多次高度评价GRI及其《指南》。2002年,GRI与联合国前秘书长安南发起的“全球契约”(Global Compact)建立了合作关系。基于《指南》提供的报告在日本、美国和欧洲得到了一系列重要的非财务报告奖励,国际上一些著名媒体(如《华盛顿邮报》、《金融时报》等)、著名跨国公司(如杜邦公司、宝马公司、荷兰皇家壳牌集团等)都对GRI及其《指南》给予了高度评价。

GRI Standards

  • 2016年10月,GRI 发布 GRI Standards《GRI标准》 ,已在2018年7月1日全面取代旧有版本G4。作为国际上广泛认可和引用的可持续发展报告框架,《GRI标准》包含“GRI 101基础”、“GRI 102一般披露”、“GRI 103管理方法”共3项通用准则,以及“GRI 200经济议题披露”、“GRI 300环境议题披露”与“GRI 400社会议题披露”等议题标准,为企业提供议题披露内容及方法。

GRI提供世界上最为广泛使用的可持续发展报告和披露标准,已被90多个国家成千上万家机构应用,使得商业、政府、公民社会以及公民个人能够基于关键信息做出更好的决策。在全球250强企业中的92% 发布了可持续发展绩效报告,其中82%采用GRI的标准进行披露。GRI以独特的多元利益相关方原则为基础,该原则确保不同利益相关方在标准制定中享有一定参与度及发挥自身的专业优势。GRI的使命就是通过GRI标准和多元利益相关方网络赋权世界各地的决策者,并采取行动,助力更可持续的世界经济体。

目前,GRI 已经成为全世界应用最广的可持续发展报告框架。

据联合国可持续证券交易所(SSE)倡议官网显示,截止到2024年2月17日,全球各证券交易所ESG信息披露指引中引用的主流标准及占比情况如下:GRI(96%)、SASB(79%)、IIRC(76%)、CDP(70%)、TCFD(63%)、CDSB(36%)。

  • 2021年5月,GRI对行业标准草案开放公众意见,涵盖农业,水产养殖,渔业和煤炭。现已开始进行磋商,以收集对GRI部门计划下的两项拟议新标准的反馈,这些新标准将通过集中关注最重要的可持续性问题来提高部门内部的透明度。
  • 除了目前(2021年)正在最终确定的《石油和天然气行业标准》外,GRI全球可持续发展标准委员会(GSSB)还宣布了以下方面的征求意见稿:

据毕马威统计, 2020 年, N100(由全球 52 个国家和地区各自收入排名的前 100 家企业共 5200 家企业) 中 67%和 G250(全球收入最高的 250 家企业构成的样本, 以 2019《财富》 世界 500 强榜单为准)中 73%都采用了 GRI 报告框架和标准, 其中使用 GRI 报告框架和标准的 N100 有 95%都使用了最新的 GRI 标准。

GRI Standards 2021较大的变化是增加了"行业标准"版块,相应地,通用标准中的3个子标准和议题专项标准也发生了变化。

下文主要整理自 SGSopen in new window及翻译自GRI 官方资料。

GRI通用标准2021版的主要变化

  1. 报告组织框架变化

    • 组成:GRI 1基础2021、GRI 2 一般披露2021、GRI 3 实质性议题2021。不分全面和核心方案,报告组织只有“符合GRI标准的要求”,但仍可以选择“参考GRI Standards 2021编制报告。
    • 强调“双重实质性(double materiality)”(双重实质性,是欧盟在2019年的《气候相关信息披露补充》文件中提出的概念。欧盟用下图解释双重实质性:一方面,气候变化对企业产生影响,因此影响到财务绩效,所以具有财务的实质性;另一方面,企业活动也会影响气候,所以具有环境和社会的实质性。两者加起来,就是双重实质性)帮助投资者和其他利益相关者做出更好决策。
  2. 反映了政府间权威文书对负责任的商业行为的期望,如《联合国(UN)商业与人权指导原则》、《经济合作与发展组织(OECD)跨国企业指导原则》、《经合组织负责任商业行为尽职调查指南》、《国际劳工标准》和《国际公司治理网络(ICGN)全球治理原则》。

  3. 几个关键基本概念的重新梳理:影响、实质性议题、尽职调查和利益相关方。在作为标准切入点的通用标准GRI 1中新增了若干概念,如“影响”、“实质性议题”、“尽职调查”和“利益相关方”,旨在更好地帮助报告组织对自身的决策和活动对可持续发展所产生的影响进行分析,从而识别需要披露的实质性议题。“尽职调查”和“利益相关方”是帮助组织识别重要影响、界定实质性议题的重要手段。

  6. 2021版标准的结构和语言对“要求”的陈述更加清晰,并且将内容进行了更有条理的分类。

GRI 2021版行业标准的主要变化

  1. GRI行业标准是报告组织必须选择和遵循的,GRI行业标准根据行业特性列举了该行业可能涉及的实质性议题,报告组织可参照行业标准结合自身的内外部环境识别自己的实质性议题,若行业标准中列举的实质性议题被组织认为没有实质性,则需要在索引中说明原因。

  2. 组织仍然可以按照自己的方法和流程识别实质性议题,但需要结合GRI行业标准。若组织识别出的实质性议题未被列入GRI行业标准,组织仍可以对其进行披露。

  3. 目前已发布石油和天然气行业标准,煤炭、采矿、农业、水产和渔业行业标准正在制定中,其他行业如食品和饮料、纺织和服装、银行、保险、资产管理、公共事业、可再生能源、林业以及金属加工业等行业标准即将被优先纳入制定阶段。

GRI 2021版议题专项标准的主要变化

2021版议题专项标准一共有31个,相比2016版减少了3个,分别是:

  • GRI 307环境合规

  • GRI 412人权评估

  • GRI419社会经济合规。

其中:

  • GRI 307环境合规和GRI 419社会经济合规被2021版GRI 2 一般披露项中的“披露项2-27法律法规的符合性”所替代

  • GRI 412人权评估的内容被整合在GRI 通用标准2021版中。

  • 而其他与人权相关的议题专项标准如GRI 408童工、GRI 409强迫或强制劳动,也可能会被GSSB(全球可持续发展标准委员会)纳入未来的修订计划中或是增加其他与人权相关的专项议题标准。

2021版议题专项标准不再按照经济、环境和社会主题进行分类,而且保留了2016版的编号和内容。

报告组织需要根据2021版通用标准和行业标准的要求识别实质性议题,然后选取与实质性议题相关的议题专项标准来进行披露,并在新的索引模板中进行标记。


如果一个组织想要声明其可持续发展报告/社会责任报告/ESG报告是符合GRI Standards 2021的要求编制的,则需遵循GRI 1中第三小节所列的9条要求:

  1. 运用报告原则

  2. 报告GRI 2一般披露项 2021中的所有披露项

  3. 确定实质性议题

  4. 报告GRI 3实质性议题2021中的所有披露项

  5. 针对每一个实质性议题,按照相关的议题专项标准进行报告

  6. 对未能进行报告的披露项和要求,说明原因

  7. 编制 GRI 内容索引

  8. 做出与使用GRI标准相关的声明

  9. 通知GRI使用本标准

如企业无法满足符合GRI标准编制报告的9项要求,或者仅是使用选定GRI标准或其部分内容,为特定目的报告特定议题的信息,可以采用参照标准的方式。该方式只需要做到最后三个要求(7-9)


对于GRI标准中的所有披露内容,都允许有从略的原因,但所有组织都必须披露以下内容:

  • GRI 2-1 组织细节(Organizational details)

  • GRI 2-2 包括在组织的可持续发展报告中的实体(Entities included in the organization’s sustainability reporting)

  • GRI 2-3 报告期、频率和联络方法(Reporting period, frequency and contact point)

  • GRI 2-4 信息的重述(Restatements of information)

  • GRI 2-5 外部审验(External assurance)

  • GRI 3-1 确定重要议题的过程(Process to determine material topics)

  • GRI 3-2 重要议题的清单(List of material topics)


人权和尽职调查被纳入新的披露内容

这次修订对人权相关标准进行了审查,并纳入了GRI人权披露技术委员会的建议。其主要目标是使GRI人权相关标准与该领域的主要政府间国际机构的权威文件(联合国《商业与人权指导原则》和经合组织文书)保持一致。此次修改主要对负责任商业行为的政策承诺制定了新的披露内容,包括对人权的尊重和尽职调查。这里总结了通用标准中相关内容的修订情况:

  • 对于GRI标准的目的,新版内容将组织报告对于「社会的影响」替换为「对于人及人权的影响」。其中GRI 1基础的关键概念中将人权纳入了组织的影响(impact)边界,并在GRI 2和GRI 3中纳入了对人权影响的披露内容。2021年的原文:「The GRI Standards enable an organization to publicly disclose its most significant impacts on the economic environment, and people, including impacts on their human rights and how the organization manages these impacts.」

  • GRI 2中修订的披露事项可归纳为5个新的披露部分:组织和报告实践(The organization and its reporting practices),活动和员工(Activities and workers),治理(Governance),战略、政策和实践(Strategy, policies and Practices),利益相关方的参与(Stakeholder Engagement);其中要求组织描述其负责任的商业行为的政策承诺,包括其尊重人权的具体政策承诺和进行尽职调查的承诺,以及如何嵌入其活动和业务关系中;还包含了申诉机制和确保利益相关方有意义的参与相关内容;

  • GRI 3-1中要求具体描述组织如何确定其重要议题,如何在其活动和商业关系中识别对经济、环境和人的实际和潜在、消极和积极的影响,包括对其人权的影响;GRI 3-2要求报告重要性议题清单与前一报告期的变化;

  • GRI 3-3将GRI 103中的全部内容合并,要求针对每个重要性议题描述对经济、环境和人的影响,包含对人权的影响;

  • 议题专项标准中GRI 307:环境合规性和GRI 419:社会经济合规性的披露内容经过修订被合并纳入GRI 2新增的法律法规合规性披露内容当中,这意味着所有组织都将需要披露相关合规情况。

The IOSCO chair Ashley Alder recently stated that the “ISSB climate standard won’t ignore impactopen in new window”.This relatively innocent sounding sentence created confusion on whether this meant a turnaround in the positioning of the IFRS Foundation on the exclusive focus on financial materiality for their sustainability reporting. Will the International Sustainability Standards Board (ISSB) also move to ‘double materiality’ - just like the EU - and focus not only on financial risks and opportunities for the company but also on the impact of the company’s activities on the economy, environment and people?

Materialityopen in new window is a key concept in the world of reporting and plays a part both in the preparation of the disclosures and their verification by an auditor. Materiality is used to ‘filter in’ the information that is or should be relevant to users. Particular information is considered ‘material’ - or relevant - if it could influence the decision-making of stakeholders in respect of the reporting company.

The confusion around materiality

To make it clear from the start, there are two main directions of thinking about materiality, which together make up the concept of ‘double materiality’:

Financial materiality: Information on economic value creation at the level of the reporting company for the benefit of investors (shareholders).

Impact materiality: Information on the reporting company’s impact on the economy, environment and people for the benefit of multiple stakeholders, such as investors, employees, customers, suppliers and local communities

Recently we have seen a wild growth of terms being introduced in addition to the more familiar concepts of financial materiality and impact materiality such as: ‘dynamic materiality’, ‘nested materiality’, ‘extended materiality’ and ‘core materiality’. They are meant to strike a bridge between financial and impact materiality, but all it does is adding to the materiality madness, making the idea behind the concept of materiality unnecessarily complicated.

Of those concepts, dynamic materiality is heard most often. It is based on the primacy of ‘financial materiality’ but has been extended by the notion of ‘pre-financial information’. The point of departure is that some sustainability issues have no direct monetary impact on the company’s financial value creation in the here and now, but may do so in the medium or long term.

Blurring the boundaries between financial and impact materiality, by stating that some information is dynamic rather than static, complicates the way substance should be given to sustainability disclosures. The concept of dynamic materiality is basically a postponement of double materiality whereby companies should report on matters that influence enterprise value (financial materiality) and matters that affect the economy, environment, and people (impact materiality).

The reality is that the impacts of an organization are or will become financially material over time. Without understanding these impacts, it won’t be possible to get a complete overview of financially material issues affecting the company, an exercise that GRI supports. Besides, impact reporting is also highly relevant in its own right as a public interest activity for multiple stakeholders. The impacts of a company matter and must be reported even if the company or its investors do not consider them to be financially material, either now or in the future.

Financial materiality and impact materiality together under the umbrella of ‘double materiality’ are the only relevant forms of materiality, with both perspectives needed in a two-pillar structure - for financial and sustainability reporting - with a core set of common disclosures and each pillar on an equal footing.

Materiality and the current landscape(实质性和当前文化背景)

Two sustainability reporting developments are happening that take a different approach on materiality.

  1. The European Sustainability Reporting Standards (ESRS) being created by the EU will be based on double materiality, for a multistakeholder audience (which includes investors).GRI and the European Financial Reporting Advisory Group (EFRAG) are leading its co-construction efforts.

  2. The standards for the disclosure of sustainability-related financial information are being drafted by the IFRS Foundation - with which the newly established ISSB is charged with - and will be based on financial materiality for an investor audience only.

In our view, the approaches of the IFRS and the EU are not competing but complementary forces. Different standards have different purposes for different audiences. Standards with a sole purpose to inform investors are built on a different concept from impact standards that inform a broader group of stakeholders. The GRI Standards are the only global standards with an exclusive focus on impact reporting for a multi-stakeholder audience - making it an essential factor in the shaping of a reporting structure based on double materiality.

As such, GRI has a key role in working with EFRAGand the ISSB to build this comprehensive globalset of sustainability reporting standards - coveringthe information needs of investors as well as otherstakeholders. It is in the interest of all stakeholdersto create a corporate reporting system based on twopillars - for financial and sustainability reporting -with a core set of common disclosures and eachpillar on an equal footing. The ultimate goal shouldbe one set of standards globally underpinning boththe financial and impact materiality perspective.

GRI is confident that, with goodwill and cooperation,we can quickly progress on both these fronts- delivering improved reporting that fulfils bothapplications of materiality, and meets thetransparency needs of a multitude of stakeholders.Besides, the concept of stakeholder capitalism not based on the concept of double materiality, justmakes no sense at allopen in new window.
